Effective Date: Monday, June 8th, 2026

Welcome to Foxtrot Studio. These Terms of Service (“Terms”) govern your access to and use of our digital architecture, web development, and design services. By submitting a deposit or engaging our services, you agree to be bound by these Terms.

1. The Engagement & Project Scope Foxtrot Studio agrees to provide bespoke digital architecture services as outlined in your selected tier (The Foundation, The Authority, or Commerce Symphony).

• The scope of work is strictly limited to the features and deliverables stated in your selected tier.
• Any additional features, pages, or complex integrations requested outside the initial scope will be subject to a separate estimation and additional billing.

2. Financial Terms & The Frictionless Checkout We operate on a strict, transparent financial model to ensure dedicated resources for your project.

• The Deposit: A 50% non-refundable upfront deposit is required to secure your slot in our assembly line. Work will not commence until this deposit is cleared.
• The Final Balance: The remaining 50% balance is due upon project completion, prior to the final handover of administrative credentials and website migration to your live server.
• Delays in Payment: Failure to pay the final invoice within 14 days of project completion will result in project suspension and potential late fees.

3. The Assembly Process & Revision Limits To maintain our standard of quality and strict timelines, we enforce a structured revision protocol:

• Design Calibration: Upon onboarding, we will establish the visual direction.
• Revision Rounds: Each project tier includes a maximum of TWO (2) comprehensive revision rounds during the assembly phase.
• Excessive Revisions: Revisions requested beyond the allocated two rounds, or structural changes requested after the initial design has been approved, will be billed at our standard hourly rate.

4. Client Responsibilities & Timelines A successful digital build requires a collaborative partnership.

• You are required to provide all necessary assets (logos, high-resolution imagery, brand guidelines, and core copywriting) during the initial Phase 02 (The Blueprint) onboarding.
• If the project stalls for more than 30 days due to a lack of feedback, assets, or communication from your end, Foxtrot Studio reserves the right to archive the project. Reactivating an archived project will incur a reactivation fee.

5. The Escape Clause (Right to Terminate) Foxtrot Studio reserves the right to decline or terminate any project during the initial onboarding phase if we determine that the project scope violates our ethical standards, or if there is a fundamental misalignment in working dynamics. In such rare events, a full refund of the deposit will be issued immediately, and the contract will be voided.

6. Intellectual Property & Ownership

• Final Ownership: Upon clearance of the final 50% payment, full ownership of the digital architecture, visual layout, and administrative rights are transferred completely to you.
• Third-Party Assets: Your website is built on enterprise-grade frameworks. You are responsible for any ongoing licensing fees for third-party premium plugins or themes used to power specific functions of your website after the handover.
• Portfolio Rights: Foxtrot Studio retains the right to display the completed project in our gallery, case studies, and marketing materials as proof of our architectural capabilities.

7. Warranties & Liability

• Foxtrot Studio delivers a fully functional, rigorously tested digital product. We provide a 14-day post-launch warranty to fix any technical bugs directly related to our assembly.
• We are not liable for any damages, security breaches, or functionality losses caused by third-party hosting failures, unauthorized client modifications to the code, or lack of software maintenance after the final handover.

8. Governing Law These Terms shall be governed by and construed in accordance with the laws of the Republic of Indonesia, without regard to its conflict of law provisions.
